Terms of Service

These terms cover the use of Cornerman's software and services by a business client ("you"). By starting a pilot or a subscription, you agree to them.

What we provide

Cornerman configures and operates automated messaging software that answers your inbound enquiries, books appointments on your calendar, follows up with people who go quiet, and reports back to you. The channels included depend on the plan you are on.

The software sits alongside the systems you already use. We do not manage your billing, attendance or student records.

Plans and payment

• Pilot — a one-time fee covering fourteen days, including the initial build.
• Core — a monthly subscription, billed in advance.
• Core + Text — Core plus text messaging, billed in advance, beginning when carrier registration for your business is approved.
• Additional work beyond the agreed build is quoted hourly and agreed before it starts.

Third-party costs that we pass through at cost — carrier registration fees and phone number charges — are shown separately and are not marked up.

The pilot guarantee

If the pilot does not capture at least five enquiries you would otherwise have missed, we refund the pilot fee in full. You ask, we refund. We do not require you to prove it.

Cancelling

Monthly plans have no minimum term. Cancel any time before your next billing date and the subscription ends at the end of the paid period. We do not pro-rate part months. On request we will export your contact and conversation data before access ends.

Your responsibilities

• Give us accurate information about your schedule, pricing and policies. The software repeats what you tell it.
• Name a person to receive escalated conversations, and respond to them.
• Hold the rights to any content and accounts you ask us to connect.
• Provide accurate legal business details for carrier registration. Registration is in your business's name, and inaccurate details are the main cause of rejection.
• Use the service lawfully, including messaging and consent rules such as the TCPA. Do not upload contact lists that have not opted in.

Text messaging

Text messaging requires approval from mobile carriers, which typically takes one to three weeks and is outside our control. We cannot guarantee approval or a date. Opt-outs are honoured automatically.

What we do not promise

The service depends on third-party platforms — messaging providers, social networks, carriers — and their outages or policy changes can interrupt it. We will tell you when that happens.

Ownership

Your contacts, conversations and bookings are yours. Our prompts, workflows, configuration and templates are ours, including improvements made while working with you. You may not resell or redistribute the service.

Confidentiality

We will not disclose your pricing, plans or operations to anyone else. We may name you as a client and describe results only with your permission.

Liability

To the fullest extent the law allows, our total liability for any claim is limited to the fees you paid us in the three months before the claim. We are not liable for lost profits or indirect losses. Nothing here limits liability that cannot be limited by law.

Ending the agreement

Either of us may end it with notice. We may suspend the service immediately if it is being used unlawfully or in a way that puts our messaging accounts at risk.

Governing law

These terms are governed by the laws of the State of Texas, and any dispute will be handled in the state or federal courts of Denton County, Texas.

Changes

We may update these terms. Material changes will be sent to you at least thirty days before they take effect.
